Affiliate Program – Terms of Use

Welcome to the SupportYourApp Affiliate Program (the "Program"). These Terms of Use (the "Terms") govern the relationship between SupportYourApp, Inc., a legal entity incorporated and acting under the law of the State of Delaware, registered at 1007 North Orange Street, 4th Floor, Suite 122, Wilmington, DE 19801, USA ("SupportYourApp", "we", "us", "our"), and you ("Affiliate", "you", "your") as a participant in the Program.

By submitting an application to participate in the Program, you agree to be bound by these Terms. If you do not agree to these Terms, do not apply to or participate in the Program.

1. Definitions

1.1 Client: A Lead that enters into a service agreement or similar arrangement with SupportYourApp.

1.2 Commission: The fee payable by SupportYourApp to the Affiliate for a successful referral resulting in a Client, as detailed in Section 5 below.

1.3 Confidential Information: All non-public data, information, and materials disclosed by SupportYourApp to the Affiliate, including trade secrets, know-how, product information, pricing, customer identities, business plans, and financial information.

1.4 Lead: Any person, company, or other organization identified and introduced in writing to SupportYourApp by the Affiliate who may be interested in SupportYourApp's services, and with whom SupportYourApp had not already had negotiations or discussions regarding potential services.

1.5 Services Fees: The core fees paid by the Client for the primary services provided by SupportYourApp under their service agreement, excluding additional fees such as integration fees, hardware fees (e.g., laptops), installation fees (e.g., MDM, DLP, VDI), or other device usage fees. This list of exclusions is illustrative and may include other fees not explicitly mentioned.

2. Program Enrollment, Approval, and Participation

2.1 Application Required: To participate in the Program, potential Affiliates must submit a complete and accurate application through SupportYourApp's official registration form available on https://supportyourapp.com/affiliate/. Submission of an application does not guarantee acceptance into the Program.

2.2 SupportYourApp Approval: Participation in the Program is subject to SupportYourApp's prior review and explicit written approval. SupportYourApp reserves the right to approve or reject any application in its sole discretion, without obligation to provide reasons for rejection.

2.3 Authorization: An Affiliate is only considered authorized ("Authorized Affiliate") to participate in the Program upon receiving a written confirmation email from SupportYourApp sent to the email address provided during registration.

2.4 Acceptance of Terms: By submitting an application, you represent that you have read, understood, and agree to be bound by these Terms of Use. These Terms become effective and binding upon your receipt of SupportYourApp's written approval email.

2.5 Unique Identifiers: Upon approval, SupportYourApp may provide the Authorized Affiliate with unique tracking links, codes, or identifiers ("Tracking IDs"). Only Leads or sales tracked through SupportYourApp`s systems using these valid, SupportYourApp-issued Tracking IDs assigned to an Authorized Affiliate will be eligible for Commissions under these Terms, unless otherwise communicated by SupportYourApp.

2.6 Affiliate Role: An Authorized Affiliate's role is to identify and introduce potential Leads to SupportYourApp in writing to [email protected] (or through other methods explicitly approved by SupportYourApp), using their best efforts to facilitate introductions and communications, all in accordance with these Terms.

2.7 Eligibility Restriction – Internal Staff: SupportYourApp may, at its sole discretion, limit or restrict participation in this Program by current employees, contractors, or other active personnel of SupportYourApp (collectively, “Staff”). ​​Any participation or referrals by Staff may be subject to prior written approval from SupportYourApp’s executive management and may be deemed ineligible for Commission without such approval.

3. Lead Qualification & Exclusions

3.1 To qualify for a Commission, a Lead must be introduced in writing by you to SupportYourApp by submitting the Lead to [email protected], or through another method explicitly approved by SupportYourApp.

3.2 You will not be eligible for a Commission for any Lead:

  1. Who contacted or was contacted by SupportYourApp on or before your written introduction.

  2. Who does not become a paying Client within two (2) years of your introduction.

  3. With whom you are currently engaged as an employee, contractor, consultant, affiliate, or in any similar capacity. In such cases, the Lead may, at SupportYourApp's sole discretion, be offered a discount on their first year of services instead of a Commission being paid to you.

3.3. SupportYourApp Due Diligence and Right to Reject Leads: SupportYourApp reserves the right to conduct its own due diligence, including but not limited to Know Your Customer (KYC), Anti-Money Laundering (AML), and sanctions checks, on any Lead introduced by an Affiliate. SupportYourApp may, in its sole and absolute discretion, reject any Lead based on the results of such due diligence or for any other reason related to its internal policies, risk assessment, or legal/regulatory requirements. SupportYourApp shall have no obligation to disclose the specific reasons for rejecting a Lead to the Affiliate. A rejected Lead cannot become a Client for the purposes of Commission eligibility under this Program through the Affiliate’s introduction. Leads rejected under this Section 3.3 may not be resubmitted by the same or different name without prior written approval.

4. Affiliate Obligations, Representations, and Warranties

You represent, warrant, and agree to the following:

4.1 Authority: You have the full right, power, and authority to enter into and perform according to these Terms.

4.2 Verification Information: You agree to provide SupportYourApp, upon request, with all information and documentation reasonably necessary for SupportYourApp to verify your identity, business legitimacy, compliance with these Terms, and information required for tax reporting or payment processing (such as relevant tax forms, identification documents, or business registration details). You warrant that all such information provided is accurate and complete. Failure to provide requested information promptly may result in delay or forfeiture of Commission payments or termination of your participation in the Program.

4.3 Taxes: You acknowledge and agree that you are acting as an independent contractor. You are solely responsible for the payment of all applicable taxes (including, but not limited to, income tax, VAT, GST, self-employment taxes) related to the Commissions you receive under this Program in your jurisdiction(s). The Company will not withhold any taxes from Commissions unless explicitly required by applicable law. You agree to indemnify and hold the Company harmless from any claims, liabilities, costs, or expenses related to your tax obligations.

4.4 Compliance with Laws: You will comply with all applicable laws, regulations, and industry standards in your performance under these Terms and in all related activities, including but not limited to those concerning marketing, advertising, data protection, privacy (including GDPR, CCPA where applicable), consumer protection, anti-spam, anti-bribery, and economic sanctions.

4.5 Marketing & Promotion Restrictions:

  1. You must clearly and conspicuously disclose your affiliate relationship with SupportYourApp in all promotions (e.g., using "#ad", "Sponsored", "Affiliate Link") in accordance with relevant advertising standards (e.g., FTC guidelines) and applicable laws.
  2. You must not send unsolicited commercial email (spam) or engage in any illegal or unethical marketing practices.
  3. You must not use spyware, adware, malware, cookie stuffing, or similar deceptive techniques.
  4. You must not bid on SupportYourApp's branded keywords, trademarks (including variations and misspellings) in any pay-per-click advertising platforms (e.g., Google Ads, Bing Ads) without prior written permission from SupportYourApp.
  5. You must not make false, misleading, or unsubstantiated claims about SupportYourApp, its services, or its pricing.
  6. You must not use SupportYourApp's name, logos, or trademarks in a way that implies an employment relationship or suggests endorsement beyond the defined Affiliate relationship, or in any manner that disparages SupportYourApp or harms its reputation.
  7. Your use of Company's name, logos, and trademarks must adhere strictly to SupportYourApp's Brand Guidelines.

4.6 Non-Disparagement: You agree not to make any false, misleading, or disparaging statements, written or oral, about SupportYourApp, its employees, services, or business practices.

4.7 Non-Interference and Non-Circumvention: You agree that, during the term of this Agreement and for a period of twelve (12) months thereafter:

  1. You shall not, directly or indirectly, induce or attempt to induce any Lead or Client introduced under this Program to terminate or alter their relationship with SupportYourApp;
  2. You shall not divert or attempt to divert business from SupportYourApp or encourage any Lead or Client to use competing services;
  3. You shall not enter into any agreement or arrangement (whether directly or through a third party) to provide services similar to those of SupportYourApp to any Lead or Client introduced under this Program without SupportYourApp’s prior written consent.

Any breach of this clause shall be deemed a material breach and grounds for immediate termination and legal remedies, including injunctive relief and damages.

4.8 Independent Contractor: You acknowledge that your relationship with SupportYourApp is that of an independent contractor, not an employee, agent, partner, or joint venturer. You have no authority to bind SupportYourApp in any way.

5. Commission Structure & Payment

5.1 Commission Rates: Subject to your compliance with these Terms, SupportYourApp will pay you Commissions as follows for Clients resulting from Leads tracked via your Tracking ID or otherwise:

  1. 10% of the Client's paid Services Fees for the first three (3) months, calculated from the first full invoice related to the relevant Statement of Work with the Client.
  2. 3% of the Client's paid Services Fees for the subsequent nine (9) months (months 4 through 12).

5.2 Commission Duration: Commissions are payable only for the first twelve (12) months of the Client relationship.

5.3 Payment Conditions:

  1. Commissions are earned and payable only after SupportYourApp has received the corresponding Services Fees payment from the Client.
  2. If the Client pays the relevant Service Fees on or before the 25th day of a calendar month, SupportYourApp will pay the corresponding Commission to you by the 5th day of the following calendar month.
  3. If the Client pays the relevant Service Fees after the 25th day of a calendar month, SupportYourApp will pay the corresponding Commission to you by the 5th day of the second calendar month following the Client's payment.

5.4 Payment Method: Commissions will be paid via Bank Transfer, ACH, PayPal, or other payment methods as explicitly agreed upon in writing by SupportYourApp.

5.5 Fees: Wire transfer fees or other payment processing fees charged by your bank or payment provider are your responsibility. Fees charged by SupportYourApp's bank are SupportYourApp's responsibility.

5.6 Reporting: SupportYourApp may provide reports on Lead status and paid Services Fees upon your reasonable request.

5.7 Clawback/Reversals: SupportYourApp reserves the right to reverse or reclaim Commissions previously paid or credited if: (a) the underlying Client transaction is canceled, refunded, charged back, or deemed fraudulent; (b) the Commission was earned in violation of these Terms; or (c) the Client fails to make payment for the relevant Services Fees.

5.8 Suspension of Payments Upon Breach: In the event that SupportYourApp, in its sole discretion, reasonably believes that the Affiliate is in material breach of these Terms (including, without limitation, Sections 4, 6, 7, or 8), SupportYourApp reserves the right to suspend payment of any Commissions otherwise payable until such breach is resolved to SupportYourApp’s satisfaction. If the breach is confirmed, such Commissions may be permanently forfeited at SupportYourApp’s discretion. SupportYourApp shall have no liability to the Affiliate for any suspended or forfeited Commissions under this clause.

6. Data Protection and Privacy

6.1 Independent Controllers: For the purposes of applicable data protection laws (e.g., GDPR, CCPA), both SupportYourApp and Affiliate acknowledge that each acts as an independent data controller regarding the personal data it processes in connection with these Terms. Each party shall independently determine the purposes and means of processing personal data and shall bear separate responsibility for its processing activities.

6.2 Affiliate Obligations:

  • You represent and warrant that you have obtained all necessary consents and provided all necessary notices required by applicable data protection laws to lawfully collect and share Lead contact information (name, email, phone number) with SupportYourApp for the purposes outlined herein.
  • You shall not provide SupportYourApp with any sensitive personal data or special categories of data unless specifically agreed upon in writing.
  • You agree to cooperate reasonably with SupportYourApp to respond to data subject rights requests concerning personal data shared between the parties.
  • You shall implement appropriate technical and organizational measures to protect the personal data you process.

7. Compliance: Sanctions and Anti-Bribery

7.1 Sanctions Compliance:

  1. You represent and warrant that neither you nor any of your affiliates, directors, officers, or agents are the subject or target of sanctions or located/organized/resident in a comprehensively sanctioned country or territory (as defined by relevant authorities like OFAC, EU, UN, UK).
  2. You agree not to introduce Leads or engage in dealings connected to this Agreement that violate sanctions.
  3. You will promptly notify SupportYourApp in writing if you or an introduced Lead becomes subject to sanctions.

7.2 Anti-Bribery Compliance:

  1. You represent and warrant compliance with all applicable anti-bribery laws (e.g., FCPA, UK Bribery Act).
  2. You warrant that you have not and will not offer, promise, pay, or authorize anything of value to improperly influence any official or person to gain an advantage or business related to this Agreement.
  3. Any breach of the Sanctions or Anti-Bribery clauses is a material breach, grounding immediate termination.

8. Confidentiality

8.1 Definition of Confidential Information: You may receive confidential, proprietary, or sensitive information from SupportYourApp (“Confidential Information”) in connection with your participation in the Program. Confidential Information includes, without limitation: business plans, strategies, pricing, customer lists, marketing data, financial information, service offerings, internal procedures, employee data, technical documentation, source code, trade secrets, and any information marked as “confidential” or which a reasonable person would understand to be confidential under the circumstances.

8.2 Use Limitation: You agree to use such Confidential Information solely for the purpose of fulfilling your obligations under the Program and not for any personal benefit or for the benefit of any third party.

8.3 Non-Disclosure: You shall not disclose Confidential Information to any third party without the prior written consent of SupportYourApp, except to your employees or agents who have a strict need to know such information for purposes directly related to the Program, and who are bound by written obligations of confidentiality no less protective than those set forth herein.

8.4 Security Measures: You agree to maintain the same degree of care you use to protect your own confidential information (but in no event less than a reasonable standard of care) to prevent unauthorized use or disclosure of SupportYourApp’s Confidential Information.

8.5 Return or Destruction: Upon termination of your participation in the Program or upon SupportYourApp’s written request, you agree to promptly return or destroy all Confidential Information in your possession or control and certify such return or destruction in writing upon request.

8.6 Survival: Your obligations under this Section shall survive for five (5) years following the termination of your participation in the Program, or indefinitely in the case of trade secrets or personal data protected by law.

8.7 Exceptions: The obligations in this Section shall not apply to information that:

  1. is or becomes publicly known without breach of this Agreement;
  2. was lawfully known to you before receipt;
  3. is disclosed to you without restriction by a third party who is not in breach of any duty to SupportYourApp; or
  4. is independently developed without use of or reference to SupportYourApp’s Confidential Information.

8.8 Remedies: You acknowledge that any breach of this Section may cause irreparable harm to SupportYourApp for which monetary damages may be inadequate, and SupportYourApp shall be entitled to seek injunctive or equitable relief in addition to other available legal remedies.

9. Intellectual Property

9.1 SupportYourApp grants you a limited, non-exclusive, non-transferable, revocable license to use its name, logos, and trademarks ("Brand Assets") solely as provided by SupportYourApp through your assigned Tracking IDs or other materials, and only for the purpose of promoting its services under this Program, strictly adhering to the Brand Guidelines and these Terms.

9.2 All intellectual property rights in SupportYourApp's services, website, materials, and Brand Assets remain the sole property of SupportYourApp.

9.3 You acknowledge that a breach of this Section 9 may cause irreparable harm for which monetary damages may be an insufficient remedy, and SupportYourApp shall be entitled to seek equitable relief, including injunction, without posting bond.

10. Term and Termination

10.1 These Terms commence upon SupportYourApp sending the written approval email (as described in Section 2) and continue until terminated by either party.

10.2 Either party may terminate your participation in the Program, with or without cause, upon ten (10) days' written notice to the other party. Notice via email to the addresses specified herein is sufficient.

10.3 SupportYourApp may terminate your participation immediately, without notice, in the event of your breach of Sections 4, 6, 7, or 8.

10.3 Upon termination:

  1. Your license to use SupportYourApp Brand Assets ceases immediately.
  2. SupportYourApp's sole liability to you will be to pay any outstanding, validly earned Commissions for Services Fees received from Clients prior to the effective date of termination, according to the payment terms herein. You are not entitled to any other compensation or damages due to termination.
  3. Sections concerning Confidentiality, Limitation of Liability, Indemnification, Governing Law, Data Protection obligations, Compliance representations, and other provisions intended by their nature to survive, shall survive termination.

11. Disclaimers & Limitation of Liability

11.1 THE PROGRAM AND ANY SupportYourApp MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

11.2 TO THE FULLEST EXTENT PERMITTED BY LAW, SUPPORTYOURAPP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR PARTICIPATION IN THE PROGRAM.

11.3 IN NO EVENT SHALL SUPPORTYOURAPP'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PROGRAM EXCEED THE TOTAL AMOUNT OF COMMISSIONS PAID OR PAYABLE TO YOU UNDER THESE TERMS IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

12.1 You agree to indemnify, defend, and hold harmless SupportYourApp and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to: (a) your participation in the Program, (b) your breach of any representation, warranty, or obligation under these Terms, or (c) any negligence or willful misconduct by you.

13. Modification of Terms

13.1 SupportYourApp reserves the right to modify these Terms at any time in its sole discretion. We will provide notice of significant changes (e.g., by posting updated Terms on our website or via email to your registered email address). Your continued participation in the Program after such modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

14. Governing Law & Dispute Resolution

14.1 These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

14.2 The parties agree to first attempt to resolve any dispute arising out of or relating to these Terms through good faith negotiations between authorized representatives. The disputing party must provide written notice to the other party.

14.3 If negotiations fail, each party irrevocably submits to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for the resolution of any disputes.

15. Miscellaneous

15.1 Entire Agreement: These Terms constitute the entire agreement between you and SupportYourApp regarding the Program and supersede all prior agreements or understandings, written or oral.

15.2 Assignment: You may not assign or transfer your rights or obligations under these Terms without the prior written consent of SupportYourApp. Any attempted assignment without consent is void. SupportYourApp reserves the right to assign its rights and obligations under these Terms, in whole or in part (including, but not limited to, the obligation to pay Commissions), to a designated affiliate of Company upon written notice to Affiliate. Affiliate hereby consents to such assignment. Upon such assignment, the designated affiliate shall assume the assigned rights and obligations, and the assigning Company entity shall be released from those assigned obligations accrued after the effective date of assignment, unless otherwise specified in the assignment notice.

15.3 Notices: All official notices hereunder shall be in writing and sent to the following email addresses (or as updated by either party upon written notice):

  1. SupportYourApp Email: [email protected]
  2. Affiliate Email: The email address provided by the Affiliate during registration and confirmed in the approval email.

15.4 Non-Exclusive Nature: Nothing in these Terms restricts SupportYourApp from working with other affiliates or from independently pursuing similar leads.

15.5 Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

15.6 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

By applying to and, if approved, participating in the SupportYourApp Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
